Research Compound Liability & Indemnification Agreement

This Research Compound Liability & Indemnification Agreement (“Agreement”) sets the terms under which the customer (“Customer”) purchases, accesses, or handles any research materials supplied by GENIQ.

By completing a purchase, the Customer acknowledges and accepts all terms below.

1. Confirmation of Research-Only Use

By purchasing GENIQ research compounds, the Customer understands and agrees that:

  1. All materials are provided exclusively for laboratory, in-vitro, or scientific research.
    They are not intended for human consumption, medical treatment, diagnostic purposes, or veterinary use.

     

  2. None of GENIQ’s products have been reviewed or approved by the U.S. Food and Drug Administration (FDA) or any comparable regulatory body.

     

  3. The Customer is solely responsible for ensuring that all handling, storage, experimental use, and record-keeping comply with applicable laws, institutional requirements, and laboratory safety standards.

     

  4. Any failure by the Customer to follow proper safety protocols or legal requirements releases GENIQ from all obligations and liabilities under this Agreement.

     

2. Age & Legal Compliance Certification

The Customer certifies that:

  1. They are 21 years of age or older at the time of purchase.

     

  2. They are legally allowed to purchase, possess, and use research chemicals in their jurisdiction.

     

  3. GENIQ may request government-issued identification to verify age or eligibility.

     

  4. The Customer assumes full responsibility for complying with all local, state, and federal regulations related to the purchase and research use of these compounds.

     

3. No Medical Claims – No Warranties

GENIQ makes no claims, explicit or implied, regarding the safety, efficacy, or therapeutic potential of the compounds sold.

All products:

  • Are provided strictly “as is”

     

  • Carry no warranties of merchantability or fitness for any purpose

     

  • Have no guaranteed research outcomes or experimental reliability

     

The Customer acknowledges that any scientific use of these materials is performed at their own risk.

4. Acceptance of Risk & Release of Liability

By purchasing or handling GENIQ products, the Customer clearly understands and accepts that:

  1. Research compounds may pose risks if misused, mishandled, or stored improperly.

     

  2. GENIQ, its owners, employees, contractors, and affiliates shall not be liable for:

     

    • Direct or indirect damages

       

    • Incidental or consequential losses

       

    • Injuries, contamination, property damage, or regulatory consequences
      resulting from the Customer’s use or misuse of any product.

       

  3. The Customer releases GENIQ from all present or future claims, lawsuits, demands, or liabilities related to their purchase or use of research-only materials.

     

5. Customer Indemnification Obligation

The Customer agrees to fully indemnify and hold harmless GENIQ, including its officers, representatives, and partners, against any:

  • Claims, lawsuits, damages, penalties, fines, or regulatory actions

     

  • Legal fees, investigative costs, or settlement expenses

     

  • Injuries, losses, or third-party claims

     

arising from the Customer’s purchase, possession, handling, storage, disposal, or misuse of supplied compounds.

6. Restricted Access Verification

6.1 The Customer acknowledges that access to GENIQ’s peptide catalog and checkout may be restricted based on age, intended use, or research verification requirements.

6.2 GENIQ may require KYC verification, including name, email, ID confirmation, or one-time authentication to ensure regulatory compliance.

6.3 GENIQ reserves the right to deny, suspend, or terminate access to any Customer who provides false information or appears to be misusing research compounds.

7. Governing Law & Binding Effect

  1. This Agreement is binding upon the Customer and their heirs, estate, successors, and assigns.

     

  2. If any provision is deemed invalid or unenforceable, the remaining sections remain fully effective.

     

  3. This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules.

     

  4. Any disputes will be resolved exclusively in the state or federal courts of Miami-Dade County, Florida.

     

By completing a purchase, the Customer confirms that they have carefully read and fully understand this Agreement and voluntarily choose to be bound by it.
Electronic acceptance constitutes a valid, enforceable signature under applicable law.
